1.0 General
This Agreement governs the terms by which users obtain the right to use the digital content of Brasa Jiu Jitsu, LLC ("Vendor"), through the web site located at www.zenithjiujitsushop.com ("Site"). This Agreement is applicable to the Site and to all persons downloading content from the Site. These Terms of Use (“Terms”) and Content Use Agreement collectively form a legally binding agreement ("Agreement") between you and VENDOR, and govern your access and use of content, and any other technology, items or other materials provided by or through this Site.
To access products, you must provide credit card details to VENDOR as required by the Site. VENDOR will charge credit cards in accordance with displayed pricing in return for access to Site content available for purchase. Your use of website, purchase and download of our products, constitutes your full acceptance of this Agreement. Please read this Agreement carefully as it may affect your legal rights. After reding this Agreement, if you do not agree, please immediately cease the use of our website.
2.0 Modification
This Agreement was last modified on 11/01/2024. Vendor may, in our sole and absolute discretion, change this Agreement from time to time to comply with laws or to meet our changing business requirements. These revisions shall be effective for new users immediately upon being posted to the Site; however, for existing customers, the applicable revisions shall be effective 30 days after posting unless otherwise stated. If you do not agree with any of the changes, you must discontinue of this site. By continuing to access the Site after the 30-day period referenced above in this Section, you expressly accept any applicable changes.
3.0 Ownership, License and Use
Vendor is the sole owner of all content offered on this Site. All Intellectual Property Rights in the training videos made by trainers and participants are, and remain, the intellectual property of VENDOR or its licensors. You are expressly prohibited from copying, modifying, reproducing, re-publishing, sub-licensing, selling, uploading, broadcasting, posting, transmitting or otherwise distributing any of the content without prior written permission from the VENDOR. You are further prohibited from recording on video or audio tape, relaying by videophone or other means the content contained on this Site. Your breach of this clause shall allow VENDOR to immediately terminate these terms and conditions with you and cease to provide you with any access to this Site. In consideration of the fees paid by you, we grant to you a limited, non-transferable, non-exclusive limited use license to use the content contained on this Site.
4.0 Permitted Use
You may use the content contained on the Site for personal use only on your personal devices only. For clarity, you may not use the content for resale, license or any other distribution. For example, you cannot superficially modify the content and sell it to others for consumption, reproduction or re-sale. Any use of the content that is not a Permitted Use shall constitute infringement of copyright.
You may transfer files among your personal devices such as phone, tablet, laptop or desktop computer. You may install and use the content in only one location at a time for each file, although there is no time limit on the duration of use. You may physically transfer the Content from one location to another i.e: distributing it among your personal devices. Any additional permitted uses must be approved in writing by VENDOR. If there is any doubt that a proposed use is a Permitted Use, you should contact VENDOR for guidance.
5.0 Refund Policy
We have a 15-day return policy, which means you have 30 days after receiving your item to request a return.
To be eligible for a return, your item must be in the same condition that you received it, unworn or unused, with tags, and in its original packaging. You’ll also need the receipt or proof of purchase.
For all digital purchases: Once a product has been purchased by you, no right of cancellation or refund exists due to the electronic nature of our products. Any refunds shall be at our sole and absolute discretion. Refund requests made after you have downloaded our product are handled on a case by case basis and are issued at our sole discretion. Refund requests, if any, must be made within thirty (30) days of your original purchase. Refund requests shall be submitted via the contact form. You agree that under no circumstances whatsoever shall you initiate any chargebacks via your payment provider. You agree that any payments made by you for any of our products are final and may not be charged back.

If your return is accepted, we’ll send you a return shipping label, as well as instructions on how and where to send your package. Items sent back to us without first requesting a return will not be accepted.

Damages and issues
Please inspect your order upon reception and contact us immediately if the item is defective, damaged or if you receive the wrong item, so that we can evaluate the issue and make it right.
Exceptions / non-returnable items
Certain types of items cannot be returned, like perishable goods (such as food, flowers, or plants), custom products (such as special orders or personalized items), digital products (such as technique videos) and personal care goods (such as beauty products). We also do not accept returns for hazardous materials, flammable liquids, or gases. Please get in touch if you have questions or concerns about your specific item.
Unfortunately, we cannot accept returns on sale items or gift cards.
Exchanges
The fastest way to ensure you get what you want is to return the item you have, and once the return is accepted, make a separate purchase for the new item.
European Union 14 day cooling off period
Notwithstanding the above, if the merchandise is being shipped into the European Union, you have the right to cancel or return your order within 14 days, for any reason and without a justification. As above, your item must be in the same condition that you received it, unworn or unused, with tags, and in its original packaging. You’ll also need the receipt or proof of purchase.
Refunds
We will notify you once we’ve received and inspected your return, and let you know if the refund was approved or not. If approved, you’ll be automatically refunded on your original payment method within 10 business days. Please remember it can take some time for your bank or credit card company to process and post the refund too.

6.0 Indemnification
You agree to indemnify and hold Brasa Jiu Jitsu, LLC its directors, officers and employees, harmless from any actions, claims, losses, damages, liabilities and expenses including legal fees, asserted by any third party due to or arising out of your use of the Site or digital Materials.
7.0 Governing Law
The Terms are governed by the laws of Nevada, USA You irrevocably agree to the exclusive jurisdiction of Nevada, USA.
8.0 Binding Arbitration
Any dispute, controversy or claim arising out of, relating to or in connection with this contract, including the breach, termination, or validity thereof, shall be resolved by final and binding arbitration. The arbitral tribunal, chosen at the direction of VENDOR, shall have the sole power to rule on any challenge to its own jurisdiction and all issues regarding arbitrability shall be decided solely by the arbitral tribunal. A request for arbitration must be made in writing. Upon receipt of the written request, VENDOR will have 90 days to choose and appoint an independent and impartial arbitrator.
The cost of the binding arbitration proceedings and any proceeding in court to confirm or to vacate any arbitration award, including, without limitation, reasonable attorneys' fees and costs, will be borne by the unsuccessful party and will be determined and awarded by the arbitrator.
9.0 User Support
No user support or maintenance is provided as part of this Agreement.
10.0 Term
These terms of this will begin upon access of Site and are perpetual.
11.0 Force Majeure
VENDOR will be free of liability where it is prevented from executing its obligations under this Agreement in whole or in part due to Force Majeure, such as earthquake, typhoon, flood, fire, and war or any other unforeseen and uncontrollable event where the Vendor has taken any and all appropriate action to mitigate such an event. Exceptions to the use of binding arbitration are as follows: VENDOR may bring forth a lawsuit, without using binding arbitration, should the lawsuit involve intellectual property infringement or injunctive relief.
12.0 Severability
If any term, covenant, condition or provision of this Agreement is held by a court of competent jurisdiction to be invalid, void or unenforceable, such provision is to be excluded to the extent of such invalidity or unenforceability and all other provisions will remain in full force and effect; and, to the extent permitted and possible, the invalid or unenforceable provision will be deemed replaced by a provision that is valid and enforceable and that comes closest to expressing the intention of such invalid or unenforceable provision.
13.0 Waivers
No failure or delay, on the part of VENDOR, in exercising any right or power under this Agreement will operate as a waiver of such right or power.
